•  Joint Ventures & Technology Purchase

We helped our client in the field of implantable medical devices, acquire worldwide rights from the manufacturer of cardiac devices in South America.  We assisted in the transfer of technology and the commercial implementation, in full compliance with the Foreign Exchange Management Act (FEMA) and issues arising out of Customs Act and Foreign Trade (Development & Regulation) Act.

We recently helped our client in investing and acquiring majority stake in a high-value brand in the frozen food industry.

•  Cross-border Investments

We assisted our client, a leading e-learning company in Bangalore in its investment transactions and many-times from across the borders from the Asia-Pacific region, to the Middle East, to the American region.  Our client, a midsized manufacturing company, received Foreign Direct Investment (FDI) from the Middle East. Our services in the Project included participation in negotiations with the investor, transaction structuring, providing advice on regulatory implications under the foreign investment laws of India and investment documentation. We assisted our client, end-to-end, in the investment transaction and in dealing with related issues including legal compliance.

• Mergers & Acquisitions

We recently assisting our client, a manufacturer in (niche) parts of automobiles, in its restructuring by allowing investment by an UK based entity in compliance with the regulatory implications under the foreign direct investment laws of India and related documentation.  Our client has sold the entire stake to the UK based entity.

We assisted our client, a leading e-learning company in Bangalore with global presence and a client-list that includes well-known companies, in divesting a division of its enterprise. Reflecting the trust clients reposed, we represented both parties – the seller and the buyer in the transaction. Our services for the buyer included implementation of the business purchase, transaction structuring, and documentation.

•  Operating a chain of restaurants across the country, our client receives ongoing legal support to deal with issues related to vendors, employees, and service providers. Maintaining a close working relationship with the client, we provide comprehensive services that help our client in efficient and smooth management of the business.
•  We provide similar end-to-end legal services to another client that owns and operates a leather product plant and a chain of retail outlets.

Transaction-specific services include:

•  Assisting a client, a strategic outsourcing partner to many of the world’s leading consumer technology companies, in negotiating with international principals. Our services include advice on relationship structuring and reviewing contractual documents.
• Facilitating a technology company specializing in product engineering services involving embedded hardware, in licensing and sublicensing products. We also helped the company in successfully resolving issues with a business partner in Japan.
• We worked with our client, a pharmaceutical company, in creating an e-portal for online sales. Our services covered all aspects of online sales, including warranties, product liability and sales tax.
